Acceptance of the conditions
By accessing our invoicing, time tracking, and estimating software (the “Service”), you agree to be bound by these Terms and Conditions (“Terms”).
If you do not agree to these Terms, you must not use the Service. These Terms constitute a legal contract between you and InnoLogiciel Inc.
Description of Service
The Service is a web-based software (SaaS) that allows you to create invoices, track time, and prepare estimates.
We reserve the right to modify, suspend, or discontinue certain features without notice, at our sole discretion.
Eligibility and Accounts
- You must provide accurate information when creating your account and keep it up to date.
You are responsible for maintaining the confidentiality of your username and password, and for all activities that occur under your account.
Use of the Service for illegal purposes is strictly prohibited.
Subscriptions and Payments
The Service is offered on the basis of a monthly subscription payable via Stripe.
- No refunds are granted unless otherwise required by law.
- In the event of non-payment, Stripe will make up to three attempts. If these attempts fail, your account will be suspended until payment is settled.
- Prices are subject to change. Any price changes will be communicated in advance and will take effect with the next billing period.
Free trials and promotions
From time to time, we may offer a free trial period or promotions. We reserve the right to set the terms and conditions and to withdraw them without notice.
Data and confidentiality
We process personal data (customers, addresses, payments) in order to offer the Service.
Hosting is provided via OVH and payments are processed by Stripe.
- We implement reasonable security measures, but you are responsible for the content you enter.

License to use
We grant you a limited, non-exclusive, and non-transferable license to use the Service in accordance with these Terms.
Any attempt to reproduce, resell, copy, or misuse the Service is prohibited.
Intellectual property
The software, including its code, interfaces, logos, and documentation, remains the exclusive property of InnoLogiciel Inc. You do not acquire any intellectual property rights by using the Service.
Technical support
Support is offered via email, within a reasonable timeframe, with no guarantee of response time or resolution.
Limitations of liability
The Service is provided “as is” and “as available.”
We make no warranty as to its accuracy, reliability, or continued availability.
We are not liable for any loss or damage resulting from:

Use of third-party services such as Stripe or OVH.

Compensation
You agree to defend, indemnify and hold harmless InnoLogiciel Inc. from any and all claims related to your use of the Service.
Termination
- You can terminate your account at any time.
- We may suspend or terminate an account without notice for non-compliance with the Terms, abuse, or non-payment.
- Upon termination, your access will be suspended and your data may be deleted, subject to legal retention requirements.
Modifications
- We may update these Terms from time to time.
- The then-current version will always be available on our website.
- Continued use of the Service after changes are posted constitutes acceptance of the new Terms.
Applicable law and jurisdiction
These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada.
General provisions
- If any provision of these Terms is held invalid, the remaining provisions will remain in effect.
- Our failure to exercise a right under these Terms does not constitute a waiver of that right.
